TERMS AND CONDITIONS OF THE AVAILABLE COMMODITIES

FOB ROTTERDAM PROCEDURE(TTIA)

1. Buyer accepts seller working procedure and issues ICPO.

2. Seller issues commercial invoice (CI) and Buyer sign and returns back commercial invoice along with Buyer’s Tank Storage Agreement (TSA).

3. Seller provides the buyer with the below-listed PPOP.

A. Product Passport (product analysis report)

B. Certificate of origin of the product

C. Commitment Letter to Supplier

D. Tank Storage Receipt (TSR)

E. Tank to Tank Injection Agreement (TTIA) to be signed by Buyer's tank farm

4. Seller provides the buyer with SGS report, Injection Report, unconditional DTA

5. (NCNDA/IMFPA) will be signed, buyer within 24 hours after successful dip test in seller's tank provide Tank Storage Receipt (TSR) seller proceed for Tank to Tank Injection and provide the buyer with the injection report of the product into buyer tanks.

6. Buyer make payment for total cost of product injected into buyer tanks via MT103, Seller transfer title ownership to buyer with all exportation documents required of the buyer for the transaction.

7. Upon conclusion of the first lift, transaction seller pays all intermediaries involved in the Transaction and proceeds with the signing of contract with Buyer.


FOB ROTTERDAM PROCEDURE 2

1. Buyer issues ICPO with Seller working procedure on it as transaction the procedure with banking details and Buyer passport scan copy.
2. Seller issues Commercial Invoice (CI) and Contract/SPA for the product in tanks in Rotterdam port, Buyer signs and returns back CI and Contract/SPA to seller alongside Buyer tank storage agreement TSA from a verifiable company for refinery approval.
3. While showing full performance and capability to purchase a product from The refinery, Seller verifies Buyer tank storage agreement TSA and provides to Buyer, the Dip Test Authorization (DTA) to be endorsed by buyer’s only. Seller issue a copy of Authorization to verify ATV, Storage information, together with the signed dip test authorization (DTA) for Buyer to contact the storage company for the tank extension in other to receive full tank (s) coordinates for dip test schedule and to enable SGS Inspection team to have access to the tanks for dip test.
4. Upon successful Dip Test in tanks and Buyer SGS confirmation of Q&Q, The buyer makes the payment for the total cost of the product via MT103 and the seller transfers title ownership to Buyer and Buyer lift product into a vessel or completely take over Seller tanks for further product storage.
5. Seller pays a beneficiary fee(s) per NCNDA/IMFPA Agreement upon verification of Buyer payment.

CIF/FOB TRANSACTION PROCEDURE 3

1) Buyer accepts the Seller working Procedure.  Buyer provides their Certificate of Incorporation/Company Registration, Corporate Profile, Website with full contact information, copy of Principal's Passport Data Page, after CC review with Buyer Principal, and complete the Irrevocable Corporate Purchase Order (ICPO) Template and send the ICPO with full banking details and documentation.
2) Seller issues Commercial Invoice (CI), and Draft Contract/SPA to Buyer, which is open for amendments on the basis that Refinery guarantees production and the reassignment of allocation title. Buyer approves in writing to register the Product Code (HS Code) for foreign  economic activity registered through Seller/Refinery as the official titleholder of the Product with the Ministry of Energy Russian Federation (MOE), at Buyer expense, payable to the Titleholder to pay the mandatory MOE Registration fee (approximately $70k)or Buyer agrees to pay an agreed Escrow Security Firm outside of Russia the amount of two hundred thousand dollars ($200,000.00 USD) under mutually agreed terms.
3) Buyer pays Seller Invoice for HS Code registration, signs/seals/dates the Contract/SPA, initials/dates all pages of the final Sales Contract/SPA and submits final copies to OOO AMGK to forward to Seller in PDF format along with the signed entity list to reassign the allocation to Buyer company name as a foreign entity.
4) Refinery seals and notarizes the final Contract/SPA and would provide the documents as PPOP in favor of Buyer as follows, but not limited to the following.
a) Company Certificate & Tax Registration (copy),
b) Statement of Product Availability,
c) Refinery Commitment,
d) Resource Certificate,
f) Product Passport or Safety Data Sheet,
g) Legalized ICPO*.
(*Note that Seller will be obliged to send to Buyer the original Legalized Contract/SPA, with the set of PPOP documents, via express courier, upon client request.)
5) Within fourteen (14) days from the date of issuance of the Resource certificate to the Buyer's address, the Refinery signs the ACT (Authority to Conduct Transport) - discharge of fuel for agreed trial quantity to the tank farm for transshipment and delivery to discharge port. The document certifying the Product is ready to load as stated. Seller issues in favor of Buyer:
a) Product Commercial Invoice (CI),
b) Tank Receipt,
c) Consignment note issued at Port of Loading,
d) Reservoir Measurement Report,
e) SGS Report.
6) Upon Buyer completion and submittal of CI to Seller, Buyer logistics coordinates Shipment which commences to the discharge Port as per agreed schedule, Contract/SPA, and agreed conditions for delivery.
7) Upon the successful delivery and inspection of the cargo at the discharge port, the Buyer releases payment via bank wire transfer (T/T) or SWIFT MT 103 to the Seller nominated bank account within the period not exceeding five (5) business/banking days.
8) Upon verification of Buyer Product purchase payment to Seller, Seller submits full shipping and title documentation to Buyer. Seller pays beneficiary fee(s) per NCNDA/IMFPA Agreement.
